These Terms and Conditions ("Agreement") govern your use of the website operated by Malee Core Co., Ltd. and the consulting services we provide. By accessing this website or engaging our services, you agree to be bound by this Agreement. If you do not agree, please discontinue use of this website and do not engage our services.
1. Definitions
In this Agreement:
- "Malee Core," "we," "us," or "our" refers to Malee Core Co., Ltd., registered in Thailand, with offices at 38 Pattanakarn Road, Soi 20, Suan Luang, Bangkok 10250.
- "Client" or "you" refers to any individual or organization that accesses this website or engages our services.
- "Services" refers to AI integration consulting, cybersecurity posture assessments, education consulting, and organizational transformation engagements described on this website.
- "Agreement" refers to these Terms and Conditions together with any written service proposal accepted by the Client.
- "Deliverables" refers to reports, guides, frameworks, configurations, and other materials produced in the course of a service engagement.
2. Acceptance of Terms
By submitting an enquiry form, entering into a service proposal, or using this website, you confirm that you are at least 18 years of age, have the legal authority to enter into this Agreement on behalf of yourself or your organization, and accept these Terms in full. Use of this website for browsing purposes does not require a formal agreement; however, engaging our services does.
3. Service Description
Malee Core provides the following consulting services as described in detail on our Solutions page:
- AI for Education and Training Providers Consulting (3-week engagement)
- AI-Enhanced Cybersecurity Posture Assessment (8-week engagement)
- AI Organizational Transformation Partnership (6-month engagement)
Service availability is subject to consultant capacity and geographic feasibility. Malee Core operates primarily in Thailand. Engagements outside Bangkok may be subject to additional scoping and travel arrangements.
4. Engagement and Contracts
All service engagements are formalized through a written service proposal signed by both parties. The proposal defines scope, deliverables, timeline, and payment terms. These Terms and Conditions form part of every such proposal unless explicitly modified in writing. In the event of a conflict between a proposal and these Terms, the proposal takes precedence on matters of scope and pricing.
5. Client Responsibilities
To enable Malee Core to deliver services effectively, the Client agrees to:
- Provide timely access to relevant personnel, systems, and documentation as reasonably requested
- Designate a named internal contact responsible for coordination with Malee Core
- Review and provide feedback on draft deliverables within agreed timeframes
- Ensure that any data shared with Malee Core during an engagement is lawfully held and that sharing it does not violate any third-party rights or applicable law
- Not use our services for any unlawful purpose or in any way that infringes the rights of others
6. Prohibited Activities
When using this website or engaging our services, you must not:
- Misrepresent your identity or organizational affiliation
- Attempt to gain unauthorized access to any systems or data
- Transmit harmful, defamatory, or unlawful content through our contact channels
- Reproduce, redistribute, or resell our deliverables without written consent
- Use outputs from our engagements in a manner that violates applicable law or professional standards
7. Intellectual Property
All content on this website — including text, design, structure, and methodology descriptions — is the intellectual property of Malee Core Co., Ltd. and is protected under Thai intellectual property law.
Deliverables produced during an engagement become the property of the Client upon full payment, subject to the following: Malee Core retains the right to use generalized, non-client-identifiable methodologies and frameworks for future engagements. Any proprietary tools or templates used in delivery remain the property of Malee Core unless otherwise agreed in writing.
8. Payment Terms
All fees are quoted and invoiced in Thai Baht (THB). Payment terms are set out in the service proposal. Standard terms are:
- 50% deposit due upon contract signing
- 50% balance due upon delivery of final deliverable or project close
- Payment via bank transfer to Malee Core's designated account
- Invoices are due within 15 calendar days of issue
Late payments may be subject to interest at the statutory rate under the Thai Civil and Commercial Code. Malee Core reserves the right to suspend work on an engagement if invoices remain unpaid beyond 30 days.
9. Refund and Cancellation Policy
Deposits are non-refundable unless Malee Core cancels the engagement. If a Client cancels a confirmed engagement after work has commenced, fees for work completed to date will be invoiced and are payable. If a Client cancels before work commences, the deposit may be applied to a rescheduled engagement within 6 months, subject to availability.
10. Confidentiality
Both parties agree to treat all confidential information exchanged during an engagement as strictly confidential. Malee Core will not disclose client information to third parties except as required to deliver the service (e.g., to subcontractors under equivalent NDA obligations) or as required by law. This obligation survives termination of the Agreement for a period of 3 years.
11. Disclaimers
Malee Core provides consulting and advisory services. Our deliverables represent professional recommendations based on information provided by the Client. We do not warrant that implementation of our recommendations will achieve specific commercial outcomes, security certifications, or regulatory approvals. Consulting advice does not constitute legal, financial, or regulatory advice, and Clients should seek independent professional advice where required.
This website is provided "as is." Malee Core does not warrant that the website will be error-free, uninterrupted, or free from viruses or harmful components.
12. Limitation of Liability
To the maximum extent permitted by Thai law, Malee Core's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the Client for that specific engagement. Malee Core shall not be liable for any indirect, consequential, or special damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold harmless Malee Core Co., Ltd. and its directors, staff, and contractors from any claims, damages, or costs arising from: your breach of this Agreement; your unlawful use of our services; or any third-party claims arising from actions you take based on our deliverables where those actions contravene professional standards or applicable law.
14. Termination
Either party may terminate a service engagement by providing written notice if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of written notice. Upon termination, the Client shall pay for all work completed to the date of termination. Clauses relating to confidentiality, intellectual property, payment, and limitation of liability survive termination.
15. Force Majeure
Neither party shall be liable for delay or failure to perform obligations resulting from circumstances beyond reasonable control, including natural disasters, government restrictions, civil unrest, or major infrastructure failure. The affected party must notify the other within 5 business days of such an event and take reasonable steps to mitigate its impact.
16. Dispute Resolution
This Agreement is governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Thai Arbitration Institute or the competent courts of Bangkok, Thailand, as the parties may agree.
17. General Provisions
- Entire Agreement: This Agreement, together with any signed service proposal, constitutes the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future rights.
- Assignment: The Client may not assign rights under this Agreement without Malee Core's written consent.
- Notices: Formal notices must be in writing and delivered by email with delivery confirmation, or by registered post to the addresses in the service proposal.
18. Changes to These Terms
We may update these Terms from time to time. The current version is always available on this page with the effective date shown. Continued use of our website or ongoing engagements after updated Terms are posted constitutes acceptance. For existing service engagements, the Terms in force at the time of contract signing apply unless both parties agree otherwise in writing.
